Terms of Service

These Terms govern your access to and use of the SiWorks platform. Master Subscription Agreements and Order Forms executed between SiWorks and a customer take precedence over these Terms.

1. Acceptance

By accessing the SiWorks platform — including siworks.com, app.siworks.com, related subdomains, and APIs (collectively, the Service) — you agree to these Terms. If you accept on behalf of a company, you represent that you are authorized to bind that company.

2. Subscription

Access to the Service is granted under an active subscription described in an Order Form between SI WORKS INC (“SiWorks”) and the customer (“Customer”). Pricing tiers are listed on our pricing page and are confirmed in the Order Form. Subscriptions auto-renew for successive twelve-month terms unless either party gives written notice of non-renewal at least 60 days before the renewal date.

3. Acceptable use

  • You will not use the Service to violate any law, including TCPA, CAN-SPAM, A2P 10DLC carrier rules, CPNI obligations, or applicable state privacy law.
  • You will not attempt to interfere with the Service's security, reverse-engineer it, or access another tenant's data.
  • You will not use the Service to send unsolicited communications, run automated harvesting, or transmit malicious content.
  • You are responsible for the conduct of every user account issued under your tenant and for keeping authentication credentials secure.

4. Customer data

Customer retains all rights to data the Customer or its end customers submit to the Service (“Customer Data”). SiWorks processes Customer Data only as necessary to provide the Service and as described in the Privacy Policy and the Data Processing Agreement. SiWorks does not sell Customer Data and does not use Customer Data to train general AI models.

5. Service levels

Production environments target 99.9% monthly availability, measured against the Cloud Run hosted endpoints. Scheduled maintenance is announced in advance and excluded from the SLA. Specific service-level commitments and remedies, including service credits, are defined in the Order Form.

6. Fees and taxes

Fees are invoiced monthly or annually as set out in the Order Form. Pass-through usage charges (Twilio voice and messaging, AI inference) are billed at cost plus a documented platform fee. Fees exclude applicable taxes; the Customer is responsible for sales, use, VAT, and similar taxes.

7. Term and termination

Either party may terminate for material breach if the other party fails to cure within 30 days of written notice. Upon termination, SiWorks will make Customer Data available for export for 30 days, after which it will be deleted in accordance with the Privacy Policy.

8. Confidentiality

Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms or the Order Form. Customer Data is the Customer's confidential information.

9. Warranties & disclaimers

SiWorks warrants that the Service will perform substantially in accordance with the documentation. Except as expressly stated, the Service is provided “as is”. SiWorks disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the maximum extent permitted by law.

10. Limitation of liability

Each party's aggregate liability arising out of or related to these Terms is limited to the fees paid by the Customer to SiWorks in the twelve months preceding the event giving rise to liability. Neither party is liable for indirect, incidental, special, or consequential damages, except for a breach of the confidentiality or intellectual-property obligations.

11. Indemnification

SiWorks will defend the Customer against claims that the Service infringes a third party's intellectual property and pay damages finally awarded. The Customer will defend SiWorks against claims that the Customer's use of the Service or its Customer Data violated law or these Terms.

12. Governing law

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-laws rules. Disputes will be resolved exclusively in the state and federal courts located in King County, Washington, and each party consents to personal jurisdiction in those courts.

13. Changes

We may update these Terms from time to time. Material changes will be posted here and announced to customer admins by email at least 30 days before they take effect.
